Practice: Mergers and Acquisitions; Strategic Planning for Organization and Development; Private Placements - Early Stage, Angel and Angel Groups, Venture Capital; Private Equity Investments and Structuring; Stock Options, other Equity and Executive Compensation; Tax Planning and Disputes; Taxable and Tax-free Reorganizations; Corporate, Partnership and Limited Liability Company Law; Licensing and other Technology Agreements; and Dispute Resolutions.
Career: Steve launched his own business focused practice in April 2013. Prior to that, Steve was a shareholder of Strassburger McKenna Gutnick & Gefsky, where he concentrated his practice in business law and served as the chair of the corporate transactions group. Before that, Steve was a shareholder of Gefsky and Lehman, P.C., where he served as the firm's managing partner. Steve started his legal career with Buchanan Ingersoll, P.C., as a member of its business and tax groups.
Approach to Early Stage Clients: Steve's experience with mergers and acquisitions and private equity investments allows him to better understand and advise clients on business structuring at formation; through various financing arrangements, and during the ups and downs faced by every business. This representation includes flexible billing arrangements that allow for hands-on legal representation with a limited budget. Steve has assisted with the formation and growth of businesses in software, medical services, professional services, medical devises, robotics, real estate, manufacturing, on-line and traditional retail, as well as forming and guiding non-profit organizations.
Approach to Mergers and Acquisitions: Steve's experiences with early stage and developing companies helps him understand the process needed to move from development to preparing for a sale or other major financial event. He recommends a process to get ready for a sale or other financing. Steve has helped the owners in successful sales of technology businesses, engineering, law, medical, oil field and insurance services, as well as manufacturers and distributors of various products. Steve also assists buyers or investors with the understanding of what the sellers have gone through or are going through. This includes reviews of issues that could kill a deal or make the investment more risky. Steve assists with a strategy for reducing that risk. When specialized legal or other professional services are required, Steve assists his clients by locating and monitoring other professionals to help get the deal done.
Approach to On-Going Clients: Through the years, Steve's clients have relied on him to provide guidance and counsel for a variety of issues that arise in employment, tax, intellectual property, contract formation and disputes, and, as necessary, guide them to other professionals to address these issues in a cost-effective manner. Steve's experience in structuring of transactions has allowed clients to weather many storms or recoup investments.
Clients: Steve currently represents private equity groups, executives and developing and mature companies in a variety of industries, including engineering, medical devices and services, robotics and software. Many of these clients have relied on Steve through more than one of their business ventures and over the course of more than a decade.
Community Involvement: Steve serves as Chairman of the Board of the Enterprise Forum of Pittsburgh. He has served on the Three Rivers Venture Fair "Boot Camp" committee, coaching presenting companies to sharpen their presentations. He served as President of his condominium association, as well as having served as Vice President on the Board of Edgewood County Club. For more than a decade, Steve served as a board chairman of the Carnegie Mellon University's Tepper School Management Game. He also was a coach for the EnterPrize Business Plan Competition, as well as participating as a judge in a number of business plan competitions.
Professional Efforts: Steve has served as a speaker and moderator for Duquesne University's Entrepreneur's Growth Conference, on start-up, equity compensation and, for the last two years, on mergers and acquisitions. He has organized seminars on mergers and acquisitions and has in the past lectured on Pennsylvania business taxes and S corporations. He has also been published in the newsletter of the Enterprise Forum of Pittsburgh and published an irreverent law firm newsletter on tax and structuring titled - No One Asked Us But ....
Background: After a few years in the restaurant and catering business, Steve graduated with honors from Carnegie Mellon University as its only Small Business Management major. Following Carnegie Mellon, Steve graduated with honors from the Cornell School of Law, where he served on the board and was published in the Cornell Law Review.
